MCSSA ANNUAL MEETING SIEBELS RESTAURANT BURTONSVILLE, MARYLAND OCTOBER 30, 2010 Present: Jim Ganz, President; Jeff Bender, Joe Fry, Ed Guillette, Don Juran, Marshall Kramer, Bud Marshall, John Rice, Dick Rothenberg, Bill Tait, Stanley Way Welcome President Jim Ganz opened the meeting at 8:32 AM and welcomed all those present. Treasurer’s Report Treasurer John Rice explained the procedure whereby the MCSSA status was approved as a 501(c) (3) organization and we are now exempt from Federal Income Tax. He has filed for Maryland state sales tax exemption - retroactive to 11/13/02 - but has not yet received an answer. The insurance protection program for officers and directors is still in progress. Jim Ganz will speak later regarding grants and contributions. The financial statement for the period from April 1, 2009 to March 31, 2010 was distributed. John indicated that the organization is in excellent financial shape. Audit Report John reported that the audit report from the committee indicated that all is OK On a motion by Bud Marshall, seconded by Don Juran - the financial statement and audit reports were approved unanimously. Board of Directors The names of Jim Ganz for President, Don Juran for Vice President and John Rice for Treasurer, Dick Rothenberg for Secretary were presented for nomination for the next year. There being no nominations from the floor, the four officers were approved by a unanimous vote. Jim indicated that members should begin to search for new talent for the Board for ensuing years. The slate of Commissioners for the coming year was presented. On a motion by Bud Marshall and seconded by Don Juran, all commissioners were accepted as presented. John Rice discussed briefly the upcoming annual dinner on November 5 and indicated there were over 100 signed up to attend. It was pointed out that about 40 per cent were wives of attendees and we need to “talk up” this affair more in future years. Recruitment for Friday Night Draft League Commissioner This item was previously voted upon. Jeff Bender will become the new commissioner.. Recruitment of Grant Application Writers As an example of the need for a grant, Jim Ganz cited the need for defribulators at ball games. There was discussion following this which pointed out that we need ideas for grants and people who are skilled enough to write them for submission. Succession Plan Discussion As indicated previously, the President reiterated the need for new people to succeed the present officers so that new “blood” can assume leadership positions. It was suggested that specific job descriptions be developed and made available to the membership to help develop an interest in new people. Options for Enhancing Bill Newbury Award/Annual Party Another reminder to members of the upcoming November 5 event. Maryland Senior Olympics There was discussion regarding all the sports in the Olympics. There is need for further advertising and more volunteers to take over the different activities. Indoor Softball, Walk-in Basketball and Volleyball, Newsletter “The Senior Athlete” Discussion was held on each of the above topics with no specific action taken Softball All Star Games It was pointed out that it is becoming difficult to get games and sufficient numbers of players in some leagues. What has taken place has been successful but it appears that there needs to be more involvement of members and players. Commissioners Reports Jim Ganz read the report from the Basketball commissioner. He is concerned with the slow rate of registration and the imbalance between the 70 and 65 leagues. Joe Fry indicated all was well with his league. Bud Marshall indicated that there were repeated complaints by players about softballs and bats - which bats OK to use, which ball was too soft, etc. A discussion regarding all night leagues followed. It was indicated that there was a need for players to direct their complaints to the commissioner of the specific league - not to the County. Don Juran reported that in Co Rec, there will be a realignment in teams and hopefully the “A” teams will return, despite the fact that their ability appeared to far exceed that of the other two levels. Marshall Kramer indicated that there is need to rate the players better in the Tuesday-Thursday daytime League Ed Guillette indicated that the change in the 70+ Fall League to accept 69 year olds was successful and he would repeat it for the coming year. Jeff Bender being new to the job this year indicated that he would do his best to carry out what has gone before. 9, 2010) ARTICLE I – NAME AND
MAILING ADDRESS: This organization shall be known as the Montgomery
County Senior Sports Association (MCSSA). The principal mailing address of MCSSA
shall be 14320 Fairdale Road, Silver Spring, Maryland 20905. ARTICLE II – PURPOSE: This organization is organized exclusively for
charitable and educational purposes, including, for such purposes, the making of
distributions to organizations that qualify as exempt organizations under
section 501(c)(3) of the Internal Revenue Code, or corresponding section of any
future federal tax code. No part of the net earnings of the organization shall
inure to the benefit of, or be distributable to its members, trustees, officers,
or other private persons, except that the organization shall be authorized and
empowered to pay reasonable compensation for services rendered and to make
payments and distributions in furtherance of the purposes set forth in the
purpose clause hereof. No substantial part of the activities of the organization
shall be the carrying on of propaganda, or otherwise attempting to influence
legislation, and the organization shall not participate in, or intervene in
(including the publishing or distribution of statements) any political campaign
on behalf of any candidate for public office. Notwithstanding any other
provision of this document, the organization shall not carry on any other
purposes not permitted to be carried on (a) by an organization exempt from
federal income tax under section 501(c)(3) of the Internal Revenue Code, or
corresponding section of any future federal tax code, or (b) by an organization,
contributions to which are deductible under section 170(c)(2) of the Internal
Revenue Code, or corresponding section of any future tax code. ARTICLE III –
AMENDMENTS: The Constitution may be amended at a meeting of the
Board of Directors, by two-thirds of those voting with a quorum being present,
and written notification of the proposed amendments having been provided at
least one week in advance of the meeting. BYLAWS ARTICLE I – MISSION: The mission of the Montgomery County Senior Sports
Association is to encourage senior citizens to exercise and improve their
quality of life by providing opportunities for them to participate in organized
sports programs sponsored directly by the Association or in cooperation with
local government recreation departments. For the purpose of this document,
senior citizens are defined to be people fifty years of age and older. ARTICLE II –
MEMBERSHIP Membership in the Association shall be open to all
persons fifty years of age and older who pay annual dues. The dues payment
entitles the member to a subscription to the MCSSA Newsletter. Members will
receive other MCSSA mailings regarding participation in sports programs and
invitations to participate in social functions such as the annual picnic and
fall banquet at fees adopted by the Board. The programs of the Association are
centered in Montgomery County, Maryland but membership is extended to residents
of other Maryland counties, District of Columbia, Virginia and neighboring
states. Honorary memberships may be conferred to representatives of
organizations or individuals at the discretion of the President with approval of
the Board of Directors. The amount of the annual dues will be set by the Board
of Directors and announced at the annual membership meeting. ARTICLE III – BOARD OF
DIRECTORS The Board of Directors shall consist of Officers and
the Directors. ARTICLE IV – OFFICERS

Past Presidents (Ex-Officio Member) In order to meet current
operating requirements, Acting Directors may be appointed by the President with
the approval of the Board of Directors. Elections to the permanent board will
occur at the MCSSA annual meeting. 6.
ELECTION OF OFFICERS
MCSSA members in good standing shall elect the Officers
and Directors in separate actions during the Annual Meeting. Participation
in the Annual Meeting is required to exercise voting rights. Officers may
also serve as a League Commissioner or Program Coordinator. The MCSSA
Newsletter that is published just before the Annual Meeting will contain a slate
of persons and positions being considered for election. Nominations for any
vacant positions can be made at any time during the year. 7.
DUTIES OF OFFICERS 8.
President The President shall preside at all regular and special
meetings of the Board of Directors. The President shall serve as an Ex Officio
member of all committees. The President shall be the official liaison with the
Department of Recreation. 9.
Vice President The Vice President shall preside at all regular and
special meetings of the Board of Directors in the absence of the President. The
Vice President shall assist the President in the administration of the ongoing
business of the organization. 10.
Secretary The Secretary shall be the recording officer of the
Board and the custodian of its records, except those specifically assigned to
others. Board records shall be available to members at reasonable times and
locations in order to carry out the Board’s business. The Secretary shall
distribute notices of all Board meetings and prepare minutes following these
meetings. The Secretary shall also prepare correspondence for the signature by
the President, when requested. 11.
Treasurer The Treasurer shall be responsible to the Board for
safeguarding the funds of MCSSA. The Treasurer shall be accountable for all
receipts and disbursements of the organization. The Treasurer shall keep all
requisite books of account in conformity with generally accepted accounting
practices. The Treasurer shall submit to the Board an annual statement of the
financial status of MCSSA and periodic interim fiscal reports as requested by
the President. Financial records are subject to an annual audit by an Audit
Committee composed of MCSSA members not serving on the Board. 12.
VACANCIES
An Officer position shall be declared vacant upon the
written notice of resignation from the representative serving in that position.
The President may appoint an Acting Officer to fill a vacancy, but such person
must be elected at the earliest opportunity. ARTICLE V – MEETINGS,
VOTING, QUORUM: A.
Regular Meetings The MCSSA shall hold an annual meeting (usually in
November) at a time and place to be determined by the Board. The Board of
Directors shall meet as soon as possible after the annual meeting to formulate
plans for the upcoming Association Year. The President, when required, may
convene special meetings of the Board of Directors. B.
Voting Members must be in good standing in order to vote at the
Annual Meeting. Simple Majority will rule when voting on all motions before the
Board. C.
Quorum A simple majority of the Board of Directors present at
meetings will constitute a quorum. ARTICLE VI – ASSOCIATION
FISCAL YEAR: The association fiscal year shall be from April 1 to
March 31 of the following year. ARTICLE VII –
PARLIAMENTARY STANDARDS: MCSSA will use a modified version of Roberts Rules of
Order in the conduct of its meetings. ARTICLE VIII –
AMENDMENT TO BY-LAWS: Once adopted, these by-laws may be amended at a meeting
of the Board of Directors, by two-thirds of those voting with a quorum being
present, and written notification of the proposed amendments having been
provided at least one week in advance of the meeting. ARTICLE IX –
NONDISCRIMINATION The officers, directors, members and persons served by the
Association shall be selected in a nondiscriminatory manner with respect to age,
sex, race, national origin, and political or religious opinion or affiliation. ARTICLE X –
DISSOLUTION Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized exclusively for such purposes.
